Un importante gruppo italiano, attivo a livello globale nel settore dell’abbigliamento, è alla ricerca di un Corporate Affairs Manager, figura chiave all’interno della Direzione Legal/General Counsel, con focus su corporate governance e compliance aziendale.
Organizza le riunioni degli organi sociali, redige verbali e documenti rilevanti, mantiene aggiornati libri sociali e archivi aziendali. Gestisce deleghe e procure, assicurandone la correttezza legale e l’adeguatezza rispetto alle funzioni delegate.
Operazioni straordinarie: supporta le attività legali connesse a operazioni societarie straordinarie, come fusioni e scissioni.
Supporto al management e alle altre funzioni: fornisce consulenza legale strategica al top management e alle diverse aree aziendali, assicurando la conformità normativa.
Coordinamento con consulenti e autorità: gestisce i rapporti con consulenti esterni (notai, legali, advisors) e coordina eventuali interazioni con autorità competenti.
Almeno 8 anni di esperienza in diritto societario, maturata in studi legali o aziende.
Laurea magistrale in Giurisprudenza.
Preferibile iscrizione all’albo degli avvocati o ulteriori qualifiche in diritto commerciale e societario (master, dottorati).
Conoscenza approfondita del diritto societario italiano.
Forte attitudine al problem solving e alla gestione delle scadenze.
Fluente in italiano e inglese (scritto e parlato).
