Hitachi Rail is looking for an enthusiastic self-motivated Senior Legal Counsel who thrives in a fast-paced environment. The successful candidate covers a global role and is comfortable performing a wide range of tasks from administrative to strategic. The position is based in Genoa, or Turin or Naples- IT with possibility of 10 working days per month from home.

Mission

Reporting to the Director Legal M&A and Equity Transactions within the Group General Counsel and Compliance Unit, the Senior Legal Counsel will provide strategic advice, guidance and support that enables the business to achieve its strategic mission in a way that minimizes legal and compliance risk for the business.

Accountabilities

• Providing legal support on financial transactions and equity investments of the Group.
• Providing legal support on evaluating and executing domestic and cross borders Divestments, Mergers and Acquisitions transactions for the Group.
• Collaborating and coordinating activities with the other legal functions of the Regions Group
• Providing legal support in the constitution and/or management of the joint ventures, consortiums or any other kind of associations, Public Private Partnerships, project financings.
• Participating in cross-functional teams, counselling stakeholders on legal commercial and reputational risk, leading discussions on risk management and ethical practices in a user-friendly and pragmatic manner.
• Ensuring compliance with corporate governance and approval requirements, company secretarial requirements, general commercial matters.
• Managing the services of external law firms as needed and within budget.

Required Skills/Knowledge

• 5 to10 years in international law firms or multinational corporations.
• Experience in one of the following sectors: digital, rail, transportation, financial.
• Familiar with contracting schemes for infrastructure projects, public and private procurement.
• Experience with financial contracts and M&A/divestment transactions (NDAs, Sale Purchase agreements, Business Transfer agreements etc)
• Exposure to international contracting practices (EPC contracts, joint ventures, consortia). Strong negotiation and risk management skills, able to operate at multiple levels including with customers, suppliers, partners, and other stakeholders.
• Familiarity with corporate governance processes and regulations, and basis of antitrust law.
• Excellent verbal and written communications skills, listening, influencing and presentation skills, ability to work and communicate in a diverse global organization.
• Curiosity and passion for complex environments, project management skills.
• Ability to prioritize and manage multiple tasks simultaneously, strong at problem-solving and critical thinking, willingness to travel occasionally.
• Team player, with cultural awareness and curiosity, willing to work with other functions and members of the Legal & Compliance team on joint initiatives.
• Absolute integrity and trustworthiness plus the credibility and ability to communicate at top level to the management of the Group.

Education/Qualification

Master's degree in Law, qualified lawyer.

Languages
Fluent in English both verbal and written.

Knowledge of another language will be a plus (Italian, French Spanish, German)
