Legal Counsel – SPA/QPA/SHA Carlo Maresca is looking for a Contract Manager to dedicate to the drafting and review of the reference contract policy in the sector of share/stock sales, including real estate residential, commercial, and renewable energy production plant, in accordance with the company's direction and guidelines, for our group companies. Responsibilities Provide legal support in analysis, modification, revision and drafting of commercial agreements: SPA, QPA, SHA, NDAs, NBO, BO, collaboration and partnership agreements, etc. Receive directives from various functions (engineering, procurement, project management, administration, finance, control) up to formalization of agreements. Preside all preparatory activities for drafting and formalization of acts, ensuring coherence between technical, administrative and contractual timelines within due time. Ensure correctness and completeness of data reported in signed acts. Provide legal opinions on interpretation regulate and evaluate feasibility and applicability of transactions or contractual clauses. Monitor compliance of contractual obligations in subsequent execution phases. Collaborate with external legal consultants when required. Identify, where possible, standard contractual models to apply. Requirements Law degree. Knowledge of the legal, fiscal and administrative regulatory framework related to contracts. Experience in SPA, QPA, SHA, NDA, NBO, BO with international law firms, companies operating in the sector. Proficiency in Microsoft Office. Good knowledge of English. Negotiation skills. Precision, goal orientation and organizational autonomy. Teamwork ability and meeting strict deadlines. Location: Pescara, hybrid (presence and smart working).
