Job Description:

Job Summary: Reporting directly to the Group Chief Legal Officer, the Senior Corporate Counsel will have the opportunity to work with a wide variety of multi-jurisdictional and highly sensitive issues on corporate law and commercial contracts, as well as structuring and managing significant cross-border M&A transactions and divestitures (including debt/equity financing). The Senior Corporate Counsel will be moreover in charge of structuring the legal department operations and processes to improve efficiency in providing support to all domestic and foreign subsidiaries. The role will be predominantly located at the Group HQ in Treviso but with significant presence at other Group locations, particularly in Parma, and business trips to foreign subsidiaries on a regular basis.

Main Responsibilities:

  1. Advising on cross-border M&A and corporate transactions, including mergers, acquisitions, divestitures and joint ventures, as well as real estate transactions;
  2. Advising on general corporate matters in multiple jurisdictions, including corporate governance issues; drafting/reviewing corporate documents, including board minutes, shareholders' resolutions and by-laws;
  3. Negotiating, drafting and advising on a wide variety of commercial contracts (both domestic and international) with the ability to capture complex legal and business concepts in a clear, concise, and easy-to-understand manner to collaborate with numerous internal functions, including sales, procurement, operations, R&D, finance and asset/facility management.

We are looking for:

  1. Degree in law from a leading Law School in Italy (top grades);
  2. 5 to 8 years of experience in "top tier" law firm or corporation with international focus;
  3. Strong English speaking and writing ability;
  4. Admitted to the practice of law in Italy (Bar admission);
  5. Demonstrated experience in/with corporations within the industry sector;
  6. Hard working, well organized and able to manage numerous projects simultaneously under deadline pressure. Detail-oriented nature. Strong analytical and quantitative skills.
