Company Secretary and Compliance Specialist THE ROLE We are seeking an experienced and detail-oriented Company Secretary and Compliance Specialist with expertise in corporate affairs, GDPR, whistleblowing, and Legislative Decree 231/2001 (Italy) to join our team. The resource will be dedicated to the corporate entities of NextEnergy Group. The ideal candidate will play a key role in ensuring that our organization adheres to legal and ethical standards, particularly in the areas of anti-corruption, data protection, whistleblowing mechanisms, and overall corporate compliance including corporate secretarial matters. KEY RESPONSIBILITIES Coordinating corporate secretary duties for the group entities and assisting in related activities (shareholder meetings, board of directors meeting, statutory boards, etc.).Drafting the relevant minutes and managing the corporate archives.Monitor changes in legislation and regulations related to corporate affairs and compliance.Coordination and management of external legal advisors and/or notaries.Advise on corporate governance best practices and ensure alignment with relevant regulations.Collaborate with legal and other departments to address corporate compliance issues.GDPR Compliance Oversee and manage data protection activities in compliance with the General Data Protection Regulation (GDPR) and with the relevant organization model if adopted (including updating the privacy register, appointment of relevant responsible parties, updating associated documents).Conduct privacy impact assessments and ensure the company's data processing activities are lawful and transparent.Collaborate with the Group Data Protection Officer to address data protection issues and respond to data subject requests.Coordination of external advisors, if appointed.Managing the relevant documents and archives.Whistleblowing Maintain and manage the company's whistleblowing program, ensuring it is effective and aligned with best practices.Legislative Decree 231/2001 Compliance Develop, implement, and monitor a comprehensive compliance program to ensure adherence to Legislative Decree 231/2001.Conduct risk assessments and implement controls to mitigate the risk of unlawful activities within the organization.Provide guidance to management and employees on compliance matters related to Legislative Decree 231/2001 and coordinate the oversight body.Manage the relevant documents and archives.Training and Awareness Coordinate training programs on corporate compliance, GDPR, whistleblowing, and Legislative Decree 231/2001 for employees at all levels.Promote a culture of compliance and ethics within the organization. SKILLS & COMPETENCIES To be successful in this role, you will demonstrate:

EXPERIENCE & QUALIFICATIONS Law degree.Knowledge of Italian and UK/EU regulatory requirements.Familiarity with data protection principles and best practices.+3 years of work experience in a compliance role, including covering Legislative Decree 231/2001, GDPR, whistleblowing, and corporate secretarial matters.Excellent command of both English and Italian.
