Context:
We are looking for a **Legal Counsel.**

She/he shall ensure that both legal support and policy are consistently and effectively deployed across the business, that contractual risks are under control and that SYSTRA’s operating needs are met.

The Legal Counsel will assist in providing legal counselling related to a wide range of legal and regulatory matters for SYSTRA SPA.

The Legal Counsel will report to the Head of Legal of SYSTRA, as its direct hierarchical report.

On a functional basis he/she will report to the senior Counsel in charge of legal affairs in Europe based in Paris. He/She will to ensure that:

- both legal support and Systra Group policies are consistently and effectively deployed
- contractual risks are under control while SYSTRA’s operating needs are met.

SYSTRA’s activity involves the performance of administrative formalities, and the Legal Counsel must be fully involved in this part of his mission. She/he will be “hands on”, required to think out of the box and strategically, using legal background and exercising strong practical judgement.

Missions/Main Duties:

- As a part of the Global Legal Team, she/he will cooperate with the local legal function and with the legal Counsel in charge of legal affairs in Europe, offering a genuine support on several matters such as compliance policy’s respect, review potential litigation cases, legal and administrative duties of SYSTRA in Italy and in other countries where Systra SPA operates.
- She/he will provide legal advice and analysis on the full range of issues (mainly contractual and litigation) arising in the countries where Systra SPA performs its activities.
- She/he will draft and advise on a wide range of contracts and agreements with respect to SYSTRA's worldwide projects.
- Maintain records for correspondence and documentation in relation to established Contracts and those in progress
- She/he will support contract negotiations through

She/he will deal with internal clients and operational teams, clients, consortium partners, subcontractors and their legal advisors, senior management on a day-to-day basis.
- She/he will understand and extensively know the active projects and the tenders in preparation.
- Provide an advisory service to internal stakeholders and challenge legal matters though risks identification and mitigation advice.
- Liaise with local insurance brokers for projects and tenders.
- Draft legal notices and lead the support towards management of dispute cases.
- Participate to the Systra Group legal network.

Profile/Skills:
**YOUR PROFILE**

EDUCATIONAL BACKGROUND
- Admitted as a solicitor in Italy is an advantage Post Graduate Law Degree (Master, LLM or PHD)

LANGUAGE SKILLS
- Fluent in Italian (written and spoken)
Fluent in English (written and spoken)
French is not mandatory but would be appreciated

CARRER BACKGROUND
- Solid knowledge of Italian public procurement rules, engineering contracts and EPC contracts is mandatory
- Experience in Design and Build projects
- Post Qualification experience at least 4 years
- Experience of negotiating and drafting contracts and transaction documents
- Previous experience in an international environment, ideally a prior in-house experience with an engineering and/or construction company preceded by law firm experience is preferred.
- Previous experience in either construction, transport or engineering sectors is a plus

SOFT SKILLS
- Strong capacity for adapting to and communicating with high-level interlocutors
- Highly effective team player
- Ability to negotiate under Italian law
- Capacity to build and maintain strong links with the operational teams and ability to influence positively internal and external stakeholders
- Hands on / able and not reluctant to dealing with formalities
- Ability to thrive in a fast-paced environment and work to deadlines and under pressure
- High ethical standards
