The Legal Counsel will be responsible for the compliance activities and for the fulfilments envisaged by primary and secondary rules and by the regulations and codes of conduct adopted by Borsa Italiana S.p.A.. The activities to be carried out include:

- monitoring and verification of the fulfillment of the legal and regulatory obligations imposed on the issuers, according to the times, methods and contents defined by the legislation in force and by the procedures adopted by the company;
- preparation of the documentation containing all the detailed information relating to (i) periodic reporting on the accounting data; (ii) ordinary and extraordinary shareholders' meetings; (iii) remuneration policy and report on remuneration and fees paid; (iv) incentive plans based on financial instruments; (iv) information on corporate governance aspects (v) corporate finance transactions, such as acquisitions, sales, capital increases, mergers, demergers, (vii) regulations relating to internal dealing;
- management, in coordination with the investor relations function, of relations with the authorities (Consob and Borsa Italiana S.p.A.), shareholders and stakeholders and communications to the market;
- support to legal and non-legal consultants of the Company for transactions and/or activities of relevance from the point of view of the discipline;
- updating and keeping of the prescribed registers regarding (i) management and monitoring of privileged information; and (ii) internal dealing;
- updating of the section of the issuer's website relating to corporate governance and investor relations

**Education and experience**:

- Master Degree in Law
- Fluent in English
- At least 5 years of experience in compliance with primary and secondary legislation for companies with shares listed on regulated markets and drafting of corporate documentation.
