Webuild, a global construction player specialized in building large works and complex infrastructure for sustainable mobility, hydroelectric energy, water, green buildings, and tunnelling sectors, is seeking a highly skilled Corporate Governance and Legal Affairs Specialist to join its team in Milan.

Job Description

The ideal candidate will have at least 1-3 years of experience in international companies or leading law or notary firms. The successful candidate will be responsible for:

  • Preparing, analyzing, and verifying commercial agreements;
  • Assisting with M&A activities, including acquisition, sale, merger, demerger, and preparation of documentation;
  • Supporting corporate governance activities, including planning governance meetings and preparing minutes and other governance documentation;
  • Providing corporate secretarial services, ensuring compliance with legal and regulatory requirements applicable to the status of a listed company;
  • Managing proxy and power of attorney systems within the scope of corporate governance;
  • Conducting studies and benchmark analyses to identify and promote best practices in corporate governance;
  • Preparing printouts of minutes on notarized books in compliance with applicable regulatory requirements;
  • Supporting auditing companies in collecting and accessing required documentation;
  • Preparing extracts of notarized minutes to support operational needs;
  • Managing the organization of meetings of corporate bodies, interfacing with directors and auditors for verification and finalization of meetings.
Requirements

To succeed in this role, you will need:

  • A law degree;
  • At least 1-3 years of experience in international companies or leading law or notary firms;
  • Knowledge of English language; knowledge of other languages is desirable;
  • Proficiency in Office package (Word, Excel, PowerPoint);
  • Sound knowledge of corporate and commercial law;
  • Knowledge of the construction sector is appreciated;
  • Good interpersonal skills, flexibility, and results orientation.
