ManpowerGroup is seeking a Global Legal Affairs Counsel Specialist to join a prominent client in the pharmaceutical sector. This role is situated within a vibrant Global Legal and General Affairs Department, focusing on Company Law and Governance, and reports directly to the Global Legal Affairs & General Affairs Manager.

Key Responsibilities:
  • Addressing Company Law & Governance matters, including the drafting and revision of corporate documents such as Shareholders' and Board of Directors' resolutions, as well as authority delegation documents.
  • Acting as a Legal Advisor during Board of Directors' or Shareholders' meetings; providing support from a Company Law/Governance perspective in M&A initiatives, restructuring within Group companies, and the establishment of new entities.
  • Overseeing banking agreements and contracts, including cash-pooling arrangements, guarantees, and other related documents.
  • Providing legal counsel on Health, Safety, and Environment (HSE) legislation.
  • Advising on public funding processes, including interpretation of public calls' regulations and obligations related to competitive funding selections.
  • Managing the administrative responsibilities of legal entities in accordance with relevant legislation, including the development and maintenance of compliance models and Codes of Ethics.
  • Editing and updating intercompany service contracts and providing associated legal advice.
  • Handling contracts and Civil Law matters.
  • Offering legal guidance on social responsibility initiatives and related contractual issues.
  • Providing legal support in city planning law matters.
  • Managing out-of-court and judicial disputes in the aforementioned areas.

Qualifications:
  • A Master's Degree in Law is required; passing the bar exam and prior experience as a practicing lawyer is preferred.
  • A minimum of 3 years of relevant experience.
  • Proficiency in both Italian and English is essential.
  • Strong organizational skills and a commitment to responsibility.
  • Proficient in using major legal databases, Microsoft Office, and Google applications.
  • Exceptional communication and interpersonal skills, with the ability to interact with various functions within the organization and external stakeholders.
  • Demonstrated seriousness, motivation, discretion, versatility, and determination.
