We are seeking an ambitious Legal Counsel to join our fast-growing team in Milan, who will act as the company’s key point of reference for corporate governance matters. In this role, you will advise senior leadership and the board on governance structures, corporate compliance, and entity management, while also supporting the business across a broader range of legal matters as needed. As a key member of our Legal team, you will operate with a high degree of autonomy, leading on complex and often ambiguous corporate governance matters while partnering closely with leadership, finance, and compliance stakeholders. The ideal candidate is a seasoned, business-oriented legal professional who is comfortable owning governance matters end-to-end and can communicate complex legal concepts clearly to non-legal audiences. Responsibilities
- Advise on governance implications of corporate transactions, including financing rounds, M&A, and organizational changes
- Monitor evolving corporate law and governance requirements, and proactively update internal policies, delegations of authority, and governance frameworks accordingly
- Manage board and shareholder matters, including preparation and organization of board/shareholder meetings, resolutions, minutes, and corporate approvals
- Support the company’s approach to corporate compliance and risk management
- Oversee entity management and corporate housekeeping across the group’s legal entities
- Draft, review, and negotiate a variety of commercial and corporate contracts
- Provide strategic legal advice on business matters as they arise, acting as a trusted advisor across departments
- Contribute to the development and improvement of internal legal procedures
- Law degree from an accredited law school
- Bar admission in Italy is required, admission in the United States is a plus
- Minimum 7 years of relevant experience at a law firm or in-house, with substantial exposure to corporate governance matters
- Excellent knowledge of Italian corporate law and governance requirements; familiarity with governance considerations in cross-border or multi-entity structures is a plus
- Good knowledge of technology law
- Proven experience managing board and shareholder processes
- Knowledge of privacy regulations will be considered as a plus
- Ability to analyze complex legal issues and provide practical advice and solutions
- Strong attention to detail and excellent organizational skills
- Excellent communication skills
- Strong analytical and research skills, with the ability to make sound legal judgments under pressure
- Fluency in English and Italian, both written and spoken. Knowledge of Chinese and Arabic is considered a strong plus.
