Senior Legal Counsel, Corporate We are seeking an ambitious Legal Counsel to join our fast-growing team in Milan, who will act as the company's key point of reference for corporate governance matters. In this role, you will advise senior leadership and the board on governance structures, corporate compliance, and entity management, while also supporting the business across a broader range of legal matters as needed. As a key member of our Legal team, you will operate with a high degree of autonomy, leading on complex and often ambiguous corporate governance matters while partnering closely with leadership, finance, and compliance stakeholders. The ideal candidate is a seasoned, business-oriented legal professional who is comfortable owning governance matters end-to-end and can communicate complex legal concepts clearly to non-legal audiences.
Responsibilities
- Advise on governance implications of corporate transactions, including financing rounds, M&A, and organizational changes
- Monitor evolving corporate law and governance requirements, and proactively update internal policies, delegations of authority, and governance frameworks accordingly
- Manage board and shareholder matters, including preparation and organization of board/shareholder meetings, resolutions, minutes, and corporate approvals
- Support the company's approach to corporate compliance and risk management
- Oversee entity management
