We are looking for a **Legal Counsel** to join our expanding team and incept the Healthware inhouse Legal services.

**Activities & Main Responsibilities**

Your main responsibilities will be to:

- Support and assist our MDs and Client Engagement teams in drafting, reviewing and negotiating commercial and contractual agreements (e.g. NDA, service agreements, Tech product/solution in international business, supply agreements, purchase agreements, IT contracts)
- Support the periodical preparation and drafting of minutes for the corporate governance bodies
- Monitor and provide guidance on prospective regulations, legislation, and other legal developments relevant to our global business
- Support in M&A, Ventures investments and corporate transactions
- Support to corporate functions with regard to compliance with governance processes and internal and external regulations applicable to the Company, in order to ensure the compliance of the actions implemented
- Provide support in D.Lgs. 231/2001, privacy/GDPR, and other regulatory matters;
- Create legal templates and develop company policies

**Qualifications**:

- Master’s degree in Law
- At least 5 years of experience in a similar role in corporate governance law or in international law firms
- Capacity and experience working on a international environment with multidisciplinary teams
- Excellent drafting, decision-making, and efficient deal closure skills
- You are comfortable with privacy and compliance matters, legal implications of SaaS (information security, data protection), channel business and technology transactions
- English Skill (fluency required)
- Experience in working with and managing outside counsel
- Capable to work in high intensity scale up environments
