Company Overview

Our client is a
Chinese automotive manufacturer
entering the Italian market through a
dealer and distributor-based go-to-market model
. The company is building its European legal and commercial framework to support dealer onboarding, after-sales operations, and long-term market development in compliance with Italian and EU regulations.

Role Overview

The Legal Counsel will be the
legal lead for the Italian dealer network
, supporting the structuring, launch, and governance of dealership relationships. Acting as the main legal interface between
Italian partners and headquarters in China
, the role requires
fluency in Mandarin and Italian
and solid expertise in Italian and EU commercial and automotive law.

Key Responsibilities

Dealer Network Structuring & Governance

  • Support the
    legal design and roll-out of the Italian dealer and distributor network
  • Draft, review, and negotiate:
  • Dealer and distribution agreements
  • Agency and commission-based models (where applicable)
  • Termination, exclusivity, and performance clauses
  • Ensure compliance with
    EU and Italian competition law
    (vertical agreements, selective distribution)

Commercial & After-Sales Legal Support

  • Advise on
    after-sales, warranty, service, and recall frameworks
  • Support the legal aspects of
    spare parts, servicing, and repair networks
  • Ensure compliance with
    Italian consumer protection law
    and product liability regulations

Regulatory & Market Compliance

  • Support legal compliance related to
    vehicle sales and marketing in Italy
  • Advise on regulatory aspects linked to:
  • Automotive sales standards
  • Advertising and promotions
  • Dealer incentives and bonus schemes
  • Liaise with external counsel and authorities when required

Operational & Employment Support

  • Provide legal support on
    local operational matters
    , including logistics, customer interfaces, and data protection (GDPR)
  • Support HR on
    employment law matters
    linked to dealer-facing and sales teams

Cross-Border & HQ Interface

  • Act as a
    legal bridge between Chinese headquarters and Italian dealers
  • Translate and contextualize legal, contractual, and regulatory topics across
    Mandarin, Italian, and English
  • Align Italian dealer agreements with
    group legal standards and policies

Profile & Qualifications

Education & Experience

  • Law degree from a recognized university
  • Qualified lawyer in Italy or significant experience advising on Italian law
  • 5+ years of legal experience
    , ideally with:
  • Automotive OEMs, importers, or dealer groups
  • Distribution, franchise, or commercial law
  • International or China–Europe environments

Languages

  • Fluent Mandarin (written and spoken)
    – mandatory
  • Fluent Italian (written and spoken)
    – mandatory
  • Professional proficiency in
    English

Skills & Competencies

  • Strong expertise in
    dealer/distributor agreements and competition law
  • Solid understanding of
    automotive after-sales and consumer law
  • Ability to operate in a
    fast-scaling market entry environment
  • Strong negotiation and stakeholder management skills
  • Cultural agility and hands-on mindset
