BE-COME is a professional services firm operating at the intersection of venture capital, startups, and impact investing. We work inside real transactions — structuring, coordinating, and closing deals in private markets, where legal precision and execution discipline determine outcomes.

We are looking for an Associate who understands that transactions succeed or fail based on legal coordination, document control, and accountability — and who wants to build the operational judgment required to manage complex deal processes from first draft to final closing.

About the role

This is a legal operations and transaction coordination role inside live deals.

You will work alongside senior team members to support legal execution across venture and private market transactions — maintaining control over documentation flows, legal timelines, and closing deliverables, and ensuring that every critical step is completed accurately and on schedule.

The primary focus is legal operations: preparing, organizing, and tracking the legal documentation that underpins each transaction. The secondary focus is transaction coordination: keeping stakeholders aligned and processes moving.

You will gradually take ownership of defined workstreams with increasing autonomy as you build your understanding of how transactions work end to end.

Success in this role depends on legal precision, follow-through, and structured communication under pressure.

What you'll do

Legal Operations (primary focus)

  • Draft and revise minutes of Board of Directors meetings and Shareholders' meetings, starting from standard templates and evolving toward independent drafting
  • Review and proofread transaction documentation — shareholders' agreements (SHA), share purchase agreements (SPA), SAFE , corporate bylaws, powers of attorney — with attention to consistency, completeness, and accuracy
  • Support legal due diligence activities: organize and track document requests, maintain DD checklists, flag missing items and inconsistencies across documentation
  • Assemble and maintain closing binders and legal bibles, ensuring complete and traceable records for each transaction
  • Manage and track signature workflows (DocuSign, Dropbox Sign), coordinate execution across multiple counterparties, and maintain execution logs
  • Support post-closing activities: corporate housekeeping, filings coordination, updating corporate books and legal archives
  • Assist in drafting structured summaries of legal progress and outstanding actions for internal teams and clients
  • Learn to use AI tools (Claude, ChatGPT) to systematize and accelerate legal operations tasks

Transaction Coordination (supporting role)

  • Maintain transaction timelines, action lists, and responsibility matrices across investors, founders, legal counsel, and advisors
  • Monitor critical deadlines and escalate risks proactively before they become problems
  • Prepare and update deal status reports for internal teams and clients
  • Coordinate document flows between all parties involved in a transaction
  • Support closing readiness reviews and post-closing follow-up

Workflow & Process Management

  • Track milestones across multiple concurrent transactions without losing quality or missing deadlines
  • Identify process gaps and bottlenecks early and flag them clearly
  • Contribute to standardizing transaction workflows and improving operational reliability across deals

What we're looking for

Experience

1–3 years in one or more of the following:

  • Corporate law practice (law firm, in-house, notarial back office)
  • M&A or venture capital legal support
  • Legal operations or transaction support
  • Project coordination in regulated or legal environments

Legal knowledge

  • Working familiarity with standard corporate documents: SHA, by-laws, shareholders and board of directors meeting minutes
  • Understanding of Italian corporate law mechanics (e.g. S.r.l. / S.p.A. governance, exit process)
  • Ability to review and proofread legal documents for consistency, completeness, and formal accuracy
  • Comfort with the structure and logic of private market transactions (due diligence, conditions precedent, closing, post-closing)
