Position Summary:
GA-Alliance is seeking an Attorney (1 year – PQE) to join its Corporate and Finance team, working on domestic and cross-border transactions in the Corporate and M&A and Banking & Finance practice areas, for a position as junior associate/associate in the team of Milanese partner Marco Franzini. Previous experience in the corporate and/or finance department of a structured law firm would be an advantage.
As well as possessing excellent academic credentials and legal knowledge, you are business-minded, with a solid grasp of the market and an enthusiasm for meeting the current challenges of the national, European and international market.
Excellent oral and written communication skills will be major assets, enabling you to negotiate effectively and to seamlessly manage the flow of information between practice groups, clients and stakeholders. Regularly working in large, international and multidisciplinary teams, you should also demonstrate a collaborative approach and an ease interacting with a wide range of legal and business professionals. Proactive and self-motivated, you should be eager to take ownership of your work product and demonstrate the skill, talent and commitment to deliver outstanding results.
The ideal candidate, in addition to having a perfect command of English, should have gained experience in some of the following areas:
• Corporate and M&A: support on extraordinary transactions (share and asset deals, mergers, demergers, contributions), legal due diligence, and the drafting and review of transaction documents (NDAs, LOIs, SPAs, shareholders' agreements)
• Corporate law and corporate governance: company secretarial matters, shareholders' and board meetings, bylaws and day-to-day corporate advice
• Banking & Finance: support in drafting and negotiating loan agreements, security packages and related finance documents, including in acquisition finance transactions
• Private Equity and Venture Capital: support on investment transactions and funding rounds Key
Requirements:
• Registration with the Bar association (Italian Bar qualification)
• Previous experience (approximately 1 year PQE) gained in the Corporate/M&A and/or Banking & Finance department of structured law firms
• Degree in law obtained with excellent grades;
• Business development and networking attitude and organizational skills
• Excellent interpersonal and communication skills
• Proficiency level in English; knowledge of additional languages is an asset
• Knowledge of MS Office (Word, PowerPoint and Excel)
• Familiarity with AI-powered legal tools and a proactive attitude towards the responsible use of artificial intelligence in legal practice (e.g. legal research, document review, due diligence and drafting support) Duties and Accountabilities: You will be part of the Corporate/Finance team supporting Italian and international clients. Your main duties will be:
• Carrying out legal due diligence and drafting due diligence reports
• Drafting and reviewing transactional and corporate documents
• Conducting legal research and drafting legal opinions and memoranda
• Attending meetings and negotiations with clients and counterparties
• Assisting with the coordination of closing activities and post-closing formalities
