We have an exciting opportunity for a Milan/Rome-based Legal Counsel to join and support the Italian activity of the Supply & Energy Management business entity of ENGIE.

S&EM LEGAL & ETHIC

is a department of approximately 130 lawyers supporting the activities of the GBU worldwide. The legal department consists of ten sub-teams, including a team composed of those lawyers supporting the local country platforms of S&EM, including the Italian platform. The lawyers act as key players in project and negotiation teams to support energy management’s business origination by drafting, structuring and negotiating contracts and generally providing legal advice in respect of the range of business activities.

What will you do?

We are looking for a Contract Negotiation Lawyer in Milan or Rome to join the existing legal team of four persons, to support its expanding business in Italy, with a focus on gas, electricity, green energy related agreements and derivatives contracts.

Mission:

The Contract Negotiation lawyer will work in Milan/Rome and be a part of the S&EM Italian Legal team. His/her mission is to support the portfolio activities on day-to-day topics related to power, gas and commodity derivatives and to participate in ongoing projects. The person will work closely with all energy management and downstream teams: trading, origination, sales, operations, risks and back-office.

The main roles and accountabilities would be:

  • Advise on, draft, review, negotiate templates and contracts (energy commodity offtake contracts, EFETs, PPAs, biomethane purchase agreements and related service contracts), complex derivatives contracts (financial instruments such as forwards, options, swaps, contracts for difference) and ISDAs, following the entire negotiation process until the validation and signature.
  • Develop and execute comprehensive legal strategies and solutions to lawfully facilitate S&EM’s commercial objectives while mitigating associated legal risk.
  • Draft, review, negotiate support credit management documentation (e.g. netting agreements, credit support annexes, letters of credit and guarantees) and any ancillary agreements.
  • Conduct regulatory and other due diligence, review and advise on credit support, legal opinions and other conditions precedent relevant for commodities and financial contracts.
  • Liaise with and draft legal analysis and memoranda for management and internal governance purposes.
