Lavorerai nel team Energy all’interno della practice Corporate M&A nella nostra sede di Milano.

Your Role and Responsibilities

Svolgerai, anche in lingua inglese e con un crescente grado di autonomia, attività di consulenza stragiudiziale ad ampio raggio in materia di diritto societario e commerciale, nell’ambito del più ampio settore dell’Energy, e in particolare:

Predisposizione e negoziazione dei documenti contrattuali e degli atti societari nell’ambito di operazioni straordinarie quali, a titolo esemplificativo, cessioni di partecipazioni societarie, trasferimento di rami d’azienda, contratti di sviluppo di impianti da fonti rinnovabili / BESS / green hydrogen, contratti di finanziamento secondo lo schema del project financing e relativa documentazione finanziaria ancillare Costituzione di società di diritto italiano e joint venture societarie, redazione e revisione di documentazione societaria e predisposizione di pareri in materia societaria e commerciale Due diligence su documenti societari e su contratti di progetto, quali EPC, O&M, PPAs, Tolling Agreements, etc., contratti di appalto in genere per la realizzazione di impianti di produzione di energia elettrica, contratti di fornitura di gas & power.

Our Requirements

Rispondi al profilo che cerchiamo se sei un Avvocato/a con almeno tre anni di esperienza post-abilitazione, maturata specificamente in ambito Energy, M&A, Project Finance, parli un ottimo inglese e hai grinta da vendere.

Attitudine al lavoro in un ambito multidisciplinare e al team working, forti capacità relazionali e di comunicazione, intraprendenza e flessibilità completano il profilo.
