Job Scope


Support Legal Affairs department of the Company, Corporate Legal Affairs department and the management of Group's Affiliates in accordance with the Group policies, on all commercial legal matters related to the business such as drafting and reviewing commercial agreements, NDAs, letters, provide opinions, memos and notes; taking care of trade compliance matters and legal aspect of clinical trials; support on M&A transaction and Group reorganization.


Have direct responsibility on such actions in order to ensure that the Company functions and the Group companies act in compliance with applicable laws and in their best interest.

Work with the Legal Affairs and Corporate Legal Affairs teams contributing to achieve targets and pursuing team missions.

Key

Responsibilities:

With specific responsibility and focus on Export & Commercial Distribution Business of the Group (excluding USA), provide support to the several functions of the Company on legal matters related to the business, running legal analyisis, providing general legal advices, drafting and reviewing commercial agreements, NDAs, commercial letters, memoranda, specific opinions and any further required legal paperwork on a case by case basis;

With specific responsibility on monitoring the implementation of the Company's trade compliance program, to liaise with the other legal deparmtents of the Group to ensure alignment and coordination.

Draft intercompany agreements and support the implementation of Group restructuring projects.


Provide support for the data collection during the renewal of Insurance master programs, supporting the management of insurance claims and liaise with the brokers.

Provide support on legal aspects of clinical trials.

Support any Group reorganization process or M&A transaction.

Monitor laws and regulations.


Pre-assess and verify any request from internal functions of the Company to local lawyers in any applicable jurisdiction both in Italy and abroad, also liaising directly with external legal counsels in case a deeper local legal analysis is requested or advisable.

Provide support in projects aimed improving operating processes of the Legal Affairs department.

Education, Experience, and Qualifications

Law Degree; admission to the Bar.

Specialization:
LLM will be a plus

Maximum 5 years Post Qualification Experience in international business law firms or multinational companies
