Main activities
The person, reporting directly to the Function Manager, will be responsible for the following activities
- Preparation, analysis and verification of commercial agreements;
- Within the framework of "M&A;" activities, involvement in the phases of acquisition, sale, merger, demerger, preparation of documentation, review of agreements;
- As part of corporate governance activities, planning of governance meetings and preparation of minutes and other governance documentation (reports and procedures);
- Corporate secretarial activities for the Corporate sphere, verifying compliance with legal and regulatory requirements applicable to the status of a listed company;
- Activities inherent to the mandatory information to be transmitted to the Market;
- Proxy and power of attorney system within the scope of corporate governance;
- Performing studies and benchmark analyses in order to identify and promote the adoption of best practices in corporate governance;
- Preparation of printouts of minutes on notarised books, in compliance with applicable regulatory requirements;
- Supporting the appointed auditing companies in collecting and accessing the required documentation;
- Preparation of extracts of notarised minutes to support operational needs (e.g. requested by banks, attorney);
- Operational management of the organisation of meetings of corporate bodies (Board of Directors, etc.), interfacing with Directors and Auditors for the verification and finalisation of meetings.
- Law degree;
- At least 13 years of experience in international companies or leading law or notary firms;
- Knowledge of the English language. Knowledge of other languages is desirable;
- Knowledge of the Office package (Word, Excel, PowerPoint);
- Sound knowledge of corporate and commercial law;
- Knowledge of the construction sector is appreciated;
- Good interpersonal skills, flexibility and results orientation.
