Ce VIE soutiendra l'équipe juridique EMED (et EMEAR) pour gérer tous les aspects juridiques des opérations et des activités de 3DS, au service de toutes les entités et de toutes les organisations du Groupe, à travers les marques, les industries et les zones géographiques, y compris la stratégie, les ventes et les canaux, la RD, le marketing, les finances, etc.
This VIE will support EMED (and EMEAR) legal team to deal with all legal aspects of 3DS operations and business, serving all entities and all organizations in the Group, across brands, industries and geos, including Strategy, Sales Channels, RD, Marketing, Finance, etc.
Vos missions Le juriste en droit des contrats fournit aux parties prenantes concernées des conseils juridiques dans tous les domaines d'expertise (propriété intellectuelle, contentieux, antitrust, droit du travail, réglementation des exportations, etc.)
et contribue à la prise de décision en fournissant des solutions innovantes et des analyses axées sur les risques.
Définit les accords standards, crée, négocie et conclut des accords sur mesure.
Spécifiquement pour les transactions de vente, il/elle approuve également le cadre contractuel final avant la livraison au client.
Partage des analyses juridiques identifiant les moteurs de croissance et les risques, pour faciliter une prise de décision rapide liée au développement commercial, à la création et à la protection des actifs et de la valeur de 3DS, y compris les due diligences préalables à l'acquisition et le processus d'intégration des sociétés nouvellement acquises.
Rationalise et simplifie les processus de communication et de validation avec les Affaires commerciales (Finance, CES…) et d'autres équipes (RD, Marketing…), pour faire évoluer et optimiser la fourniture de solutions juridiques en soutien aux transactions clients et fournisseurs, au développement des canaux, au développement et à la distribution des produits et services 3DS, à la protection et à l'application de la propriété intellectuelle 3DS.
Explore et évalue les solutions juridiques et commerciales pour soutenir l'activité et la croissance de 3DS (nouveau modèle commercial/de distribution, nouveau pays, nouvelle technologie…).
Prend en charge les litiges commerciaux et les questions précontentieuses.
Your missions Contract Legal Counsel provides the relevant stakeholders with legal advice in all areas or expertise (IP, litigation, antitrust, labor laws, export regulations, etc.)
and contributes to decision making by providing innovative solutions and risk-oriented analyses.
Defines standard agreements, creates, negotiates and closes tailor made agreements.
Specifically for sales transactions, he/she also approves final contractual framework before delivery to customer.
Shares legal analyses identifying growth drivers and risks, to facilitate fast decision making related to business development, creation and protection of 3DS assets and value, including pre-acquisition due diligences and integration process of newly acquired companies.
Streamlines and simplifies communication and validation processes with Business Affairs (Finance, CES …) and other teams (RD, Marketing…), to scale and optimize delivery of legal solutions in support of customers and suppliers transactions, channels development, development and distribution of 3DS products and services, protection and enforcement of 3DS intellectual property.
Explores and benchmarks legal and business solution to support 3DS business and growth (new business/distribution model, new country, new technology…).
Supports business litigation and pre-litigation issues.
Vos qualifications Vous avez un Master en droit des contrats, propriété intellectuelle, droit des sociétés et contentieux.
Vous avez une première expérience dans le secteur des hautes technologies.
Vous avez un anglais courant.
Vous êtes rigoureux(se), autonome et force de proposition.
Your qualifications You have a Master's degree in contract law, intellectual property, corporate law and litigation.
You have initial experience in the high-tech sector.
You are fluent in English.
