**Job Description**:
**Location**: Milan (On-site), Part time role (50%)
**Key activities and responsibilities**:
- Independently manage corporate secretarial activities for non-listed Italian operating company and its local subsidiaries, including organization of meetings of corporate bodies and preparation of related documentation (proxies, notices of meetings, minutes, etc.) and maintenance of mandatory corporate books.
- Collaborate with company governance functions located in other jurisdictions with regard to the implementation and managing of the corporate governance system of the group.
- Take care of the activities and fulfilments related to the granting and revocation of power of attorney to proxies.
- Collaborate with relevant functions in the definition, preparation, and implementation of corporate transactions.
- Monitor and fulfil administrative requirements arising from corporate secretarial activities, including with public agencies and supervisory authorities.
- Responsible for filling in documents/modules relating to beneficial owner/titolare effettivo.
- Attend to notifications to the Chamber of Commerce and other required filings.
- Manage digital archive of corporate books.
**Qualifications**:
- Bachelor's degree in Business Administration, Law, or a related field.
- At least 3-5 years of relevant experience in corporate secretarial activities and corporate governance.
- In-depth knowledge of corporate laws and regulations in Italy.
- Excellent organizational and time management skills.
- Strong interpersonal and communication skills.
- Ability to work independently and collaboratively in a fast-paced, dynamic environment.
- Proficient in Microsoft Office Suite and digital archive management systems.
- Fluent in Italian and English, both written and verbal.
