- Deal Transformation Strategy & Operations We are looking for an Assistant Manager to join Deloitte's Deal Transformation & Post Merger Integration team in Milan and Rome, working in a Hybrid mode. The Deal Transformation team supports clients at every stage of an M&A transaction, from the pre-deal phase with business and operational due diligence to support investment decisions, to post-deal value creation through integration and performance improvement initiatives. Your Role As an Assistant Manager, you will have the opportunity to collaborate with the Top Management of client companies, focusing on Pre-Deal and Post-Deal issues within extraordinary finance operations (M&A). Specifically, the resource will be responsible for: M&A Integration & Separation
* Conduct separation due diligence/assessment, analyzing the complexity of the separation, standalone readiness, operational and organizational implications, TSA requirements, stranded costs, and main execution risks.
* Support the design and execution of complex M&A integration and separation programs, from preparation to Day 1 until the post-closing phase, including the management of Integration/Separation Management Offices (IMO/SMO).
* Support the design and implementation of integration and separation strategies, standalone and target operating models, governance structures, Day 1 and Day 100 plans, and execution roadmaps.
* Coordinate cross-functional workstreams, monitoring interdependencies, risks, and critical decisions and ensuring correct management of critical issues according to defined escalation paths. Value Creation
* Manage the entire synergy assessment process, from identifying synergy opportunities to quantifying them, from implementation planning to value capture, with the aim of maximizing the realization of synergies expected from M&A operations.
* Identify and quantify one-off costs, dis-synergies, stranded costs, and value leakage, defining mitigation actions and supporting cost management.
* Support the development of business cases and value creation initiatives, evaluating their economic and operational impact.
* Develop tracking models to monitor the progress of value creation initiatives and the realization of value against business cases and targets, identifying variances, risks, and opportunities. Programme Management & Governance
* Structure and manage complex programs, defining the integrated plan, governance mechanisms, and tools for monitoring and managing critical issues, including RAID and decision logs.
* Monitor program progress, verifying milestones, risks, and interdependencies and managing main critical issues through appropriate escalation paths.
* Prepare reporting packages for Top Management and Steering Committees, summarizing progress, main risks and critical issues, and requested decisions.
* Facilitate governance meetings, workshops, and working sessions with senior client stakeholders and functional teams, fostering alignment between different functions and supporting the decision-making process. Stakeholder Management
* Build and manage strong relationships with client executives and functional leaders, understanding their needs and priorities and ensuring effective involvement in the different phases of the program.
* Collaborate with multidisciplinary Deloitte teams to develop and implement integrated solutions for clients and identify new business opportunities.
* Foster effective collaboration between client teams and Deloitte professionals, ensuring alignment between workstreams, stakeholders, and program priorities.
* Present analyses and recommendations to senior management, C-level executives, and Steering Committees, clearly communicating the main evaluation elements and supporting the decision-making process.
What we offer
The fixed remuneration for this position is between EUR 44,000 and EUR 47,000 gross per year for the Assistant Manager grade. The classification will be defined during the selection phase based on the profile and in application of the CCNL Terziario Distribuzione e Servizi. The definition of the specific compensation, including any variable elements (such as MBO) or fringe benefits, will depend on the evaluation of the profile against the requirements of the position.
