As a Legal Counsel within the RWE Renewables’ Board Office, Corporate & Partnering Law team you will be providing corporate legal support to the RWE Renewables’ legal entities in Italy and internationally, being responsible to secure compliance with the law and regulations as well as internal policies and principles.

Although the focus of your duties will be on corporate law, you will also provide legal support to renewables joint venture, M&A and project finance transactions in Italy and internationally, with a focus on offshore wind.

**Your future plans**
- Provide corporate legal support to the RWE Renewables’ legal entities in Italy and internationally and be one of the key advisors about core governance/corporate principles of the RWE Renewables Group
- Advise the business on day to day corporate law matters in Italy and internationally, including preparation of Board of Directors’ meetings and/or Shareholders’ meetings, drafting of Board of Directors’ and/or Shareholders’ meetings’ minutes, operation of joint venture partnerships
- Be involved in and actively support the standardization of corporate governance processes and harmonization of corporate law and administrative assistance to all RWE Renewables’ SPVs & JVs
- Be one of the key legal advisors for renewables joint venture, M&A and project finance transactions as well as management of corporate projects, including acquisitions, partnering and divestments, in Italy and internationally, focusing on offshore wind
- Work across the international RWE Renewables' business, alongside other members of the RWE Renewables international Legal Team and engage with other support functions to deliver a holistic and streamlined service to the business of RWE Renewables
- Manage organizational and coordination tasks, incl. process optimization, with a very high degree of complexity with independent professional decision-making competence, especially in the area of JV services and JVs & SPVs management, asset / share acquisition, due diligences
- If needed, coordinate external legal advice
- Provide support (including liaising with external counsel) in related dispute resolution situations

**Your profile**
- Graduated in law with distinction and qualified as solicitor in Italy
- At least 3 years of working experience with corporate law and M&A transactions in an international law firm or company
- Ability to handle multiple tasks, take on new responsibilities and prioritize work in a dynamic, deadline-intensive environment
- Extensive corporate, commercial and technical understanding
- Very good organizational, analytical and communication skills and a solution-oriented mindset
- Customer-orientation and consulting skills as well as negotiating skills
- High level of engagement, enjoy working in an international team including travel
- High flexibility and ability to work professionally and accurately under pressure
- Fluent command of English is essential; capability of working in a further EU-language is beneficial
