- Your New Role- To assist in the ongoing development of the Italian branch on all Legal aspects of the business and being a valuable resource to the Italian team-
- To develop amongst the business and support units an awareness of legal risk and a risk management culture to ensure the business meets best practice requirements-
- To be the primarily support for the business and support units in respect of commercial projects and contractual arrangements (IT and material outsourcing arrangements, marketing and sponsorship arrangements, and procurement agreements for the supply of goods and services)-
- To advise and draft reliable policy documentation incl. wordings, reinsurance treaties, reinsurance facultative agreements, schedules, endorsements, policies, summaries and related documents-
- To provide legal advice on a wide range of insurance related contracts and distribution structure queries such as TOBAs, DUAs, DCAs, broker service arrangements, commutations, novations, incl. non-conventional arrangements, and to assist on brokers remuneration issues (commission, payment, fees, risk transfer)-
- To be aware of existing processes and controls for legal risk management and to assist the Head of Legal and/or Senior Legal Counsel as necessary to ensure risks are managed in line with best practice and QBE corporate philosophy-
- To support the EO Legal Team initiatives to ensure both practical legal support is provided to the business and that consistency of approach and advice is maintained in relation to legal risk management to minimize risks-
- Assist with dispute resolution and claims matters as required-
- To represent the EO Legal Team in providing legal advice to the Italian business units and to the local management-
- To provide assistance, guidance and management (where appropriate) of Assistant Legal Counsels and Paralegals on an ad-hoc basis-
- Build and maintain strong and effective relationships with clients within the business-
- Manage the expectations of the Head of Legal and/or Senior Legal Counsel and business units for service delivery-
- Ensure that the EO Legal Team becomes a natural first port of call for advice-
- To provide legal advice on Italian business projects as required and/or to provide advice in support of Head of Legal and/or Senior Legal Counsel-
- To review and amend contracts proposed by the local management, business units, supports units or third parties to ensure legally sound, compliant and appropriate in a compliant context-
- To prepare contracts for local management, business units and support units when needed, maintaining consistency and best practice-
- To negotiate with third parties in order to bring contracts to execution and completion-
- To advise the Head of Legal and/or Senior Legal Counsel of relevant issues/concerns- About You- Min. 5 years PQE relevant experience, either as in-house counsel or at a law firm and qualified with an Italian Law Degree-
- Confidence to act independently and make technical decisions within competence, with ability to judge when to seek advice-
- To work well with European Operations Legal Team colleagues and other business units, considering legal issues without losing sight of the business objective-
- Ability to recognize areas of risk and recommend solutions appropriate for level of experience-
- Academics and technical ability important but delivery equally so-
- Regulatory and/or insurance sector experience a prerequisite-
- Significant experience in leading insurance law practice or in house at a reputed insurance company-
- A thorough understanding of Italian law and any specialist area of expertise combined with excellent drafting skills-
- Working knowledge of the Italian prudential regulation of insurers and effect of regulation on freedom of contract-
- A competent understanding of the general laws and statutes applicable to all companies and businesses operating in Italy, including company law agency, competition law,-
- A competent understanding of tort and other non-contractual obligations as they affect QBE-
