All'interno della Direzione "Executive Group Strategy", MBDA Italia SpA è alla ricerca di un "Mergers & Acquisitions Manager" presso la sede di Roma.La risorsa sarà inserita in un contesto internazionale e si occuperà di guidare progetti e operazioni specifiche di fusione e acquisizione, assicurandone il coordinamento, la pianificazione ed il completamento, con lo scopo di raggiungere gli obiettivi strategici aziendali.Titolo di studio richiesto:Preferibilmente laurea magistrale in Economia, Business o GiurisprudenzaEsperienza professionale7+ anni d'esperienza professionaleGradita esperienza professionale maturata in contesti di consulenza Merger & Acquisition / bancaria, servizi di transazione di società di revisioneAttività previste per il ruolo:La Risorsa prescelta si occuperà delle seguenti attività:Gestire e realizzare progetti specifici di M&A e CVC per conto del Group Director of M&A;Condurre progetti di Merger & Acquisition dalla definizione della fattibilità all'attuazione del progetto, coordinando tutte le attività pertinenti all'interno dell'azienda, in particolare interfacciandosi con le funzioni Finance, Legal e le altre coinvolte; Coordinamento ed integrazione delle attività degli stakeholder esterni (avvocati, revisori, consulenti) nell'ambito dell'intero progetto.Preparare casi aziendali/rapporti/documenti, comprese le motivazioni strategiche, in coordinamento con le funzioni competentiCoordinare la preparazione delle richieste di autorizzazione alle autorità esterne competenti - Antitrust o altri enti autorizzatiCondurre le attività di due diligence, tra cui la preparazione e controllo della Data Room, la proposta e approvazione delle regole della Data Room e la verifica del processo di Q&A e della documentazionePartecipare alle trattative con il venditore/acquirente, garantendo la corretta gestione del progetto.Competenze Professionali:Formazione finanziaria/giuridicaCapacità e conoscenza della gestione dei progetti (PM)Buona conoscenza del contesto della Difesa, del mercato europeo e dei suoi concorrentiEsperienza/interesse nel settore aerospaziale e della difesaConoscenze linguistiche:· Ottima conoscenza della lingua ingleseCompetenze organizzative/Soft skills:Orientamento ai risultatiCapacità di influenzareProattivitàCapacità analiticheCapacità di lavorare in gruppo
