Legal Counsel - Corporate Affairs - Società quotata - Milano
Responsibilities Gestione delle attività di Corporate Governance e Segreteria Societaria, inclusa la predisposizione di verbali, convocazioni e documentazione per Consiglio di Amministrazione, Assemblee e Comitati.
Monitoraggio e implementazione delle normative applicabili alle società quotate (TUF, Regolamenti Consob, Codice di Corporate Governance).
Supporto nella redazione e revisione di documentazione societaria e regolamentare, inclusi bilanci, relazioni finanziarie e comunicazioni price sensitive.
Consulenza legale su operazioni straordinarie (fusioni, acquisizioni, aumenti di capitale) e su tematiche di diritto societario.
Collaborazione con le funzioni interne (Compliance, Investor Relations, Finance) per garantire la conformità normativa.
Laurea in Giurisprudenza e abilitazione alla professione forense.
6-7 anni di esperienza in ambito legale, preferibilmente maturata in società quotate o studi legali specializzati in diritto societario e mercati finanziari.
Conoscenza approfondita della normativa italiana su società quotate, TUF, regolamenti Consob e Codice di Corporate Governance.
Ottime capacità di redazione e revisione di documenti legali e societari.
Inglese fluente (parlato e scritto).
