Summary

We have an exciting opportunity for an experienced Legal Counsel to join our growing, fast-paced, and agile legal team.

**Responsibilities**:
Review, negotiation and drafting legal documents and agreements related to the development of solar energy projects, including among others, LOIs, NDAs, SPAs, services agreements, joint venture and shareholders agreements, grid and infrastructures sharing agreements, Interconnection agreements, letters to public entities in connection with authorisation process, etc.

Review, negotiation and drafting of land agreements (lease agreements, surface rights purchase) and analysis of the ownership and registral status.

Advising on energy regulatory frameworks and the commercial impact of legislative changes (including research reports and analysis of case-law precedents)

Analysis of permitting and planning processes and requirements for Projects

Identification of legal risks and issues from legal analysis (including due diligence).

Corporate legal and day to day business activities (i.e. drafting minutes of the board and general meetings, powers of attorney, assistance to the other department in legal queries).

Coordination with external law firms.

Interaction with other teams within the company (Business Development, technical team, Structure Finance, PPAs, Procurement, Construction etc.).

Knowledge

Strong academic background and experience gained in leading international / mid to top tier firm

High standard of English and Italian (verbal and written)

Being able to work in a multicultural company

Probusiness oriented lawyer

Good interpersonal skills, ability to communicate well, hardworking approach and a team player

Flexible attitude and ability to multi -task. Strong time management / prioritisation skills

Experience

Experience in the renewable energy and infrastructure sector;
Experience instructing and managing external/local counsel;
Experience in drafting and negotiating commercial contracts; and

Familiarity with project financed power/infrastructure assets / project contracts

**Qualifications**:
Equivalent to at least 3 years Post Qualification Experience, preferably with some recent experience of working with international clients

Excellent academic background and experience gained in leading international / mid to top tier firm

Fluent English verbal and written communication skills

Personal qualities

Highly self-motivated and well organised.

Ability to deal confidently and build strong relations with senior business colleagues

Flexible attitude and the ability to multi-task

Strong time management skills
