RINA is currently recruiting for a International Legal Affairs Director to join its office in Genova within the International Legal Affairs Division.

Mission

The ideal candidate will play a critical role in supervising and coordinating the operations of foreign legal presences, acting as the primary point of reference and liaison with Central Functions.  This position ensures effective and timely management of international legal matters and requests relevant to assigned jurisdictions, in compliance with guidelines and procedures established by Global structures.

Key Accountabilities

  1. Coordination and Supervision:
    - Lead and oversee international legal teams, ensuring they effectively support Central Functions in adapting contract forms to local regulations, preparing declarations, and managing correspondence with third parties.
  2. Legal Advisory Management:
    - Provide legal consulting and support during contract review and negotiation phases as defined by Central Functions, ensuring compliance with legal requirements and risk mitigation in the relevant jurisdictions.
  3. Corporate Compliance Support:
    - Manage corporate compliance activities abroad (with potential external legal support) according to directives from Central Functions.
  4. Documentation Review:
    - Handle legal consulting and analysis of tender documentation, contract reviews, and preparation of declarations and foundational documents for Joint Ventures, powers of attorney, applications, observations, and requests for clarification based on the intervention scope defined by Central Functions.
  5. Intellectual Property Management:
    - Support Central Functions in managing trademarks, patents, and intellectual property issues abroad.
  6. Corporate Governance Documentation:
    - Assist Central Functions in managing corporate governance documents abroad (e.g., statutes, regulations, board of directors' bylaws).
  7. Local Compliance for Powers of Attorney:
    - Support Central Functions in adapting power of attorney forms to local legal systems and issuing them for foreign companies.
  8. Corporate Secretarial and Legal Matters:
    - Provide support for corporate secretarial and legal matters, ensuring all requirements of various jurisdictions are met.
  9. Insurance Contract Management:
    - Assist Central Functions in managing insurance contracts and renewals through local policies, liaising with foreign brokers, and handling insurance claims according to shared instructions.
  10. Supplier Management:
    - Manage foreign suppliers (supplier qualification, RDA entry, receipt management, and supplier relationships).
  11. Claims Management Support:
    - Assist Central Functions in handling claims during the pre-litigation phase (with potential external legal support).
  12. International Legal Partner Management:
    - Aid in the selection and management of international legal partners, ensuring effective collaboration and alignment with the company’s needs and objectives.
  13. Reporting and Communication:
    - Maintain continuous reporting and communication regarding international legal activities with the Global Legal Affairs structure.
  14. Legal and Regulatory Updates:
    - Collaborate with foreign presences to stay updated on potential developments in legal and regulatory matters (such as legislative reforms, GDPR, etc.), facilitating ongoing training and updates for personnel in relevant geographic areas, and identifying emerging opportunities and risks.

Education:

Juris Doctor (JD) or equivalent law degree from an accredited institution.

Qualifications:

  • Minimum of 7-10 years of experience in international legal affairs or corporate law, with a focus on cross-border transactions and compliance.
  • Strong knowledge of international legal frameworks, corporate governance, and regulatory compliance.
  • Proven experience in contract negotiation and drafting, particularly in multi-jurisdictional contexts.
  • Excellent communication and interpersonal skills, with the ability to build relationships with stakeholders at all levels.
  • Ability to work collaboratively with diverse teams and manage multiple priorities in a fast-paced environment.
  • Proficient in legal research and analysis, with strong problem-solving skills.
  • Fluency in English; proficiency in additional languages is a plus.
  • Strong organizational skills and attention to detail.
